These Terms of Use (“Terms”) govern your access to and use of the website at avande.net and the decision-support portal application located at portal.avande.net, together with any related services (collectively, the “Services”), provided by Avandé, Inc. (“Avandé,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. These Terms should be read together with our Privacy Policy.

1. Eligibility and Accounts

The portal application is intended for authorized users, including physicians, reviewers, and other professionals granted access by Avandé or its clients. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

2. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to misuse the Services, interfere with their normal operation, attempt to gain unauthorized access to any systems or data, or use the Services to transmit unlawful, harmful, or infringing content.

3. Website Use

Our public website at avande.net is provided for general informational purposes about Avandé and its Services. You may browse the website and use features such as the contact form and newsletter subscription in accordance with these Terms. You agree to provide accurate information when submitting a contact form or subscribing to our newsletter, and not to use the website to submit unlawful, misleading, or abusive content, to introduce malicious code, or to attempt to disrupt or gain unauthorized access to the website or its underlying systems. Content on the website is provided “as is” and may be updated or removed at any time without notice.

4. SMS Text Message Notifications

As part of the Services, Avandé operates an SMS notification program for authorized users, primarily physicians and reviewers, relating to secure access to and case work within the portal application at portal.avande.net. These messages may include one-time passcodes (OTP) used to verify your identity when you log in to the portal, as well as new case assignments, status updates, reminders, and other operational communications. One-time passcode messages are transactional and are sent only when you attempt to sign in or take an action that requires verification.

By providing your mobile phone number and using the Services, you consent to receive recurring SMS text messages from Avandé related to your work on the platform. Message frequency varies based on your activity and case load, and message and data rates may apply to all messages, including one-time passcodes (OTP), depending on your mobile carrier and plan. You may opt out at any time by replying STOP to any message, after which we will send a single confirmation message and stop sending further SMS messages unless you opt back in. Reply HELP for assistance. Because these notifications support time-sensitive case work, opting out may affect your ability to receive timely updates.

5. Email Notifications

Avandé also sends email notifications to authorized users regarding secure account access, cases, tasks, account activity, and other operational matters related to the portal application at portal.avande.net. These include one-time passcodes (OTP) and verification messages used to confirm your identity when you log in to the portal. You receive these emails because you or your organization provided your email address in connection with your use of the Services. You may unsubscribe from non-essential email notifications using the link provided in those emails; certain transactional and account-related emails are necessary to provide the Services and may continue while your account is active.

6. Intellectual Property

The Services, including all content, software, algorithms, text, graphics, and logos, are owned by or licensed to Avandé and are protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Services without our prior written consent.

7. Confidentiality and Data

The Services may involve access to confidential and sensitive information, including protected health information. You agree to handle all such information in accordance with applicable laws, regulations, and any agreements between you or your organization and Avandé, and to use it solely for authorized purposes.

8. Third-Party Services

We rely on third-party providers to help deliver the Services, including Amazon Web Services and Amazon Simple Email Service (Amazon SES) for email delivery and third-party providers for SMS delivery. Your use of the Services may be subject to those providers’ applicable terms.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Avandé does not warrant that the Services will be uninterrupted, error-free, or secure. The Services and their outputs are intended to support, not replace, professional judgment.

10. Limitation of Liability

To the fullest extent permitted by law, Avandé and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or relating to your use of the Services.

11. Indemnification

You agree to indemnify and hold harmless Avandé from any claims, damages, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion.

13. Changes to These Terms

We may update these Terms from time to time. Changes become effective when we post the revised Terms, and the “Effective Date” above will be updated accordingly. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
